In this PrivacyPolicy, we seek to explain to you in the clearest way possible what informationwe collect, how we use it and what rights you have in relation to it. If thereare any terms in this Privacy Policy that you do not agree with, pleasediscontinue use of our Services immediately.

 

This Privacy Policy applies to all informationcollected through our Services (which, as described above, includes our Websiteand the App, as well as any related services, sales, marketing, or events.

1.                  DEFINITIONS

 

“Affiliates” shall mean BuildHop or any other entity that,directly or indirectly, through one or more intermediaries, controls, iscontrolled by, or is under common control with BuildHop.

 

ApplicableLaw” shall mean QFC Data Protection Regulations, December 2021.

 

“Company”or “Companies” shall mean any corporation(s), limited liabilitycompany or companies, partnership(s) or other similar entities.

 

“Non-personalIdentification Information” shallmean any non-personal information collected from the Users pursuant to theirinteraction on the Platform, including but not limited to the browser name, thetype of computer and technical information about Users means of connection tothe Platform such as the operating system, the Internet service providersutilized and other similar information.

 

“PersonalIdentification Information/ Personal Data” shall mean any information that identifies or can be usedto identify, contact or locate the person, when the Users use the Platform,register, conclude a transaction, respond to a survey, fill out a form, andanything else in connection with other activities, services, features orresources we make available on the Platform. Users may be asked for personalinformation including, but not limited to name, email address, phone number andresidential address, as well as information about personal health issues andinsurance submitted through our Services, disclosed by the Users in relation tothe services provided by us. BuildHop will collect Personal IdentificationInformation from Users only if they voluntarily submit such information to us.Users can always refuse to supply Personal Identification Information, exceptthat it may prevent them from services provided by us. For the purposes of thisPrivacy Policy, Personal Identification Information and Non-personalIdentification Information shall together be referred to as "Personal Information".

 

Platform/(s)”shall mean the BuildHop App and the BuildHop Website includingsubdomains collectively through which the Servicesare provided by BuildHop to the Users.

 

PrivacyPolicy” shall mean this Privacy Policy, as amended from time to time.

 

Services” shallmean the services of providing construction equipment and raw materials byBuildHop and/or its Affiliates.

 

"ThirdParty" shall mean any personor entity other than you or us which may include payment facilitators and othersuch entities which are not associated with us or any of our affiliates.

 

Terms andConditions” shall mean the Terms and Conditions for BuildHop, as amendedfrom time to time available at [•].

 

Users” or“You” shall mean users, visitors,customers, prospective customers, suppliers, or prospective suppliers who availor will avail the services provided by BuildHop.

 

Website”means the platform on which we provide our customers the access to our Servicesthat is available via http://www.buildhop.com.

 

2.                 SCOPE AND NATURE OF PRIVACY POLICY

 

This Privacy Policy covers Personal Informationcollected from and about you – individuals who are Users, customers, andprospective customers of our business. This Privacy Policy includes examples ofthe types of information we may collect and the kinds of companies to which wemay disclose information. These examples are illustrative and should not beconsidered a complete inventory of our information collection or sharingpractices. Accordingly, the words “include” and “including” mean inclusionwithout limitation.

 

3.                 WHAT INFORMATION DO WE COLLECT?

 

3.1            We collect Personal Information that you voluntarilyprovide to us when you register on the Services, express an interest inobtaining information about us or our Services, when you participate inactivities on the Platform or otherwise when you contact us. We mayuse the Personal Data that you provide to respond to your questions, provideyou the specific Services you select, send you updates about various new andupdated Services, send you email messages about the Platform maintenance orupdates, user experience monitoring and improvement, and related businesspurposes and to carry out market research operations for our Services. We usethis information and share it as needed with our Affiliates solely for theirperformance of contracted Services for us. We never sell the information thatwe collect.

 

3.2             The Personal Information that we collect depends on thecontext of your interactions with us and the Services, the choices you make andthe products and features you use.

 

                       (i)              The personal information we collect may include thefollowing:

●                  Credit card and billing details, including billingaddress (for future transactions made by you);

                     (ii)              We may provide you with the option to register with ususing your existing social media account details, like your Facebook, Twitteror other social media account. If you choose to register in this way, we willcollect the Information described in the section called "HOW DO WE HANDLE YOUR SOCIAL LOGINS" below.

 

                   (iii)              Log and usage data is service-related, diagnostic, usage,and performance information our servers automatically collect when you accessor use our Services and which we record in log files. Depending on how youinteract with us, this log data may include your IP address, deviceinformation, browser type and settings and information about your activity inthe Services (such as the date/time stamps associated with your usage, pagesand files viewed, searches and other actions you take such as which featuresyou use), device event information (such as system activity, error reports(sometimes called 'crash dumps') and hardware settings).

 

                   (iv)              We collect device data such as information about yourcomputer, phone, tablet or other device you use to access the Services.Depending on the device used, this device data may include information such asyour IP address (or proxy server), device and application identificationnumbers, location, browser type, hardware model Internet service providerand/or mobile carrier, operating system, and system configuration information.

 

                     (v)              We collect location data such as information about yourdevice's location, which can be either precise or imprecise. How muchinformation we collect depends on the type and settings of the device you useto access the Services. For example, we may use GPS and other technologies tocollect geolocation data that tells us your current location (based on your IPaddress). You can opt out of allowing us to collect this information either byrefusing access to the information or by disabling your Location setting on yourdevice. Note however, if you choose to opt out, you may not be able to usecertain aspects of the Services.

 

                   (vi)              We may request to send you push notifications regardingyour account or certain features of the App. If you wish to opt-out fromreceiving these types of communications, you may turn them off in your device'ssettings.

 

3.3             All Personal Information that you provide to us must betrue, complete and accurate, and you must notify us of any changes to suchPersonal Information. If you submit any personal information that is not yourown, you represent and warrant that you have the authority to do so and topermit us to use that information in accordance with this Privacy Policy. Ifyou contact us with a question, comment, or complaint, we may collect your nameand contact information (such as your email address or mailing address) inorder for us to respond to your request. We may also keep a record of thecorrespondence in order to assist you in the future.

 

3.4             We automatically collect certain information when youvisit, use or navigate the Services, only to achieve efficiency in providingthe Services to you. This information does not reveal your specific identity(like your name or contact information) but may include device and usageinformation, such as your IP address, browser and device characteristics,operating system, language preferences, referring URLs, device name, country,location, information about how and when you use our Services and othertechnical information. This information is primarily needed to maintain thesecurity and operation of our Services, and for our internal analytics andreporting purposes.  We use tools such ascookies, web beacons, and similar technologies to gather the information listedabove. Some of these tools offer you the ability to opt out of data collection.We use this information to help improve the contents of the Platform and theServices and to compile aggregate statistics about individuals using ourPlatform and the Services for internal, market research purposes. We mayinstall cookies that collect the domain name of the user, your internet serviceprovider, your operating system, and the date and time of access. A cookie is asmall piece of information, which is sent to your browser and stored on yourcomputer or other device. Cookies do not damage your device. You can set yourbrowser to notify you when you receive a cookie. This will enable you to decideif you want to accept it or not. If you do not accept cookies, you may not beable to use all functionality of your browser software or this Platform. We mayobtain the services of outside parties to assist us in collecting andprocessing information collected through cookies. We may also request locationaccess, access to camera, gallery, SMS, physical activities to provide youbetter and personalized user experience.

 

3.5             We may also use internet tags (also known as action tags,web beacons, single-pixel GIFs, clear GIFs, invisible GIFs, and 1-by-1 GIFs)and cookies through the Services and may deploy these tags/cookies through athird-party advertising partner or a web analytical service partner which maybe located and store the respective information (including your IP address) ina foreign country. These tags/cookies may be placed both on onlineadvertisements that bring users to the Services. We use this technology tomeasure the Users’ responses to the Platform and the Services and theeffectiveness of our advertising campaigns (including how many times a page isopened and what information is consulted) as well as to evaluate your use ofthe Services. The third-party partner or the web analytical service partner maybe able to collect data about visitors to the Site and other sites because ofthese internet tags/cookies, may compose reports regarding the Platform’sactivity for us and may provide further services which are related to the useof the Platform and the internet. They may provide such information to otherparties, if there is a legal requirement that they do so, or if they hire theother parties to process information on their behalf.

 

3.6            We do not collect or store financial account numbers oridentifications issued by a governmental entity, employer, or other authority,save and except for KYC purposes mandatorily required by Applicable Law. Incase you choose to make a payment on our website, you will be redirected to apayment gateway provided by a third party, offering different types of payment options,and thereby collecting your financial information for the purpose of making apayment.

 

3.7             Your name, email address, and other identifiable profileinformation is editable through the profile settings in your account. If youwould like to access, correct, amend, remove, obtain a copy, or limit the useof any Personal Data about you that has been collected and stored by us, pleasenotify us by emailing at info@buildhop.com so thatwe may respond to your request. For your protection, we may need to verify youridentity before fulfilling your request to access, correct, amend, remove,obtain a copy, or limit the use of your Personal Data. We will use the mobilenumber and email address from your request to identify the Personal Data thatwe have collected and stored. We will respond to your request at our earliestconvenience and in compliance with the Applicable Law.

 

3.8            We may need to retain certain information forrecordkeeping compliance, to complete transactions that you began prior torequesting such access, change or deletion, or in the event that you have anactive account using our software and/or the Services. In general, we willretain your Personal Data for the period necessary to fulfil the purposesoutlined in this Privacy Policy unless a longer retention period is required orpermitted by law.

 

3.9              By actively optinginto emails from us, you agree that your information may undergo processingincluding updating your record to reflect your affirmative request to receiveemails and tracking within those emails such as when you open them and when youclick on links. We use that data to determine which content resonates with youto personalize your experience with BuildHop and for other marketing purposes,such as determining your interest in our Services. If you do not want to haveyour data processed in this manner, you can opt out of emails from BuildHop oryou can abstain from opting into communications. In some cases, wecollect user information from third parties. We also may collect informationabout you that we may receive from business partners, marketers, analysts, andother sources to enable us to verify and update information contained in ourrecords and better customize the Services for you. If required, we may alsocollect information from credit reporting agencies to determine yourcreditworthiness, credit score and credit usage, in compliance with and to theextent permitted by applicable laws. Some third parties may provide usinformation about you (such as the sites where you have been shown ads ordemographic information) from offline and online sources that we may use toprovide you more relevant and useful advertising.

 

4.                HOW DO WE USE YOUR INFORMATION?

 

4.1                  We may process or share your data that we hold based onthe following legal basis:

●            To facilitate account creation andlogon process: If you choose tolink your account with us to a third-party account (such as your Google orFacebook account), we use the information you allowed us to collect from thosethird parties to facilitate account creation and logon process for theperformance of the contract. See the section below headed "HOW DO WE HANDLE YOUR SOCIAL LOGINS" for further information.

 

●            To post testimonials: We post testimonials on our Services that maycontain Personal Information. Prior to posting a testimonial, we will obtainyour consent to use your name and the content of the testimonial. In case, youwish not to provide your name for the same, we shall post the testimonialanonymously.  If you wish to update, ordelete your testimonial, please contact us at privacy@buildhop.com and be sureto include your name, testimonial location, and contact information.

 

●            Request feedback: We may use your information to request feedbackand to contact you about your use of our Services.

 

●            To enable user-to-usercommunications: We may use yourinformation in order to enable user-to-user communications with each user'sconsent.

 

●            To manage user accounts: We may use your information for the purposes ofmanaging our account and keeping it in working order.

 

●            To send administrative informationto you: We may use your personalinformation to send you product, service and new feature information and/orinformation about changes to our terms, conditions, and policies.

           (ii).                       establish, protect and defend our rights or property, theServices or our Users, including to investigate, prevent or take actionregarding illegal activities, suspected fraud, situations involving potentialthreats to the safety of any person, violations of our Terms & Conditions,other agreements or policies, or as evidence in litigation in which we areinvolved;

 

         (iii).                       act under emergency circumstances to protect the personalsafety of us, our affiliates, agents, or Users of the Services or the publicwhich includes exchanging information with other companies and organizationsfor fraud protection and

 

         (iv).                       to fully cooperate with law enforcement agencies inidentifying those who use our services for illegal activities and may, in oursole discretion, disclose personal information or other information to satisfyany law, regulation or government request.

 

4.4                If we rely on your consent for us to use your PersonalInformation in a particular way, but you later change your mind, you maywithdraw your consent by emailing us at privacy@buildhop.com. If you withdraw your consent, this may impact theability for us to provide some of our Services to you.

 

4.5                If you would at any time like to review or change theinformation in your account or terminate your account, you can log in to youraccount settings and update your user account. Upon your request to terminateyour account, we will deactivate or delete your account and information fromour active databases. However, we may retain some information in our files toprevent fraud, troubleshoot problems, assist with any investigations, enforceour Terms of Use and/or comply with applicable legal requirements.

 

4.6               Opting out of email marketing: You can unsubscribe from ourmarketing email list at any time by clicking on the unsubscribe link in theemails that we send or by contacting us using the details provided below. Youwill then be removed from the marketing email list — however, we may stillcommunicate with you, for example to send you service-related emails that arenecessary for the administration and use of your account, to respond to servicerequests, or for other non-marketing purposes. 5.                WHO WILL YOUR INFORMATION BE SHAREDWITH?    

 

5.1               We only share and disclose your Personal Information withthe following third parties. We have categorized each party so that you may beeasily understand the purpose of our data collection and processing practices.

 

●                   Invoice and Billing: Qpay, QNBsimplified,Payfort, Stripe, Tap.company and Tazapay.

 

●                   User Account Registration andAuthentication: Auth0 and Trello

 

●                   Web and Mobile Analytics: Google Analytics, Facebook analytics

 

●                   Web Platform Hosting: WordPress.com, WooCommerce, Cloudfare, AWS, GCP,META and other companies we will be affiliated with in the future from time totime.

 

We are not responsible for the safety of anyinformation that you share with third-party providers who advertise but are notaffiliated with our Platforms.

 

5.2             The Services may contain advertisements from thirdparties that are not affiliated with us, and which may link to other Platforms,online services, or mobile applications. We cannot guarantee the safety andprivacy of data you provide to any third parties. Any data collected by thirdparties is not covered by this privacy notice. We are not responsible for thecontent or privacy and security practices and policies of any third parties,including other Platforms, services or applications that may be linked to orfrom the Services. 6.                HOW DO WE HANDLE YOUR SOCIALLOGINS?

 

6.1                    Our Services offers you the ability to register and loginusing your third-party social media account details (like your Facebook orTwitter logins). Where you choose to do this, we will receive certain profileinformation about you from your social media provider. The profile Informationwe receive may vary depending on the social media provider concerned, but willoften include your name, email address, friends list, profile picture as wellas other information you choose to make public on such social media platform.

1.                  AGREEMENT TO TERMS

 

1.1                    These Terms of Use constitute a legally binding agreementmade between you, whether personally or on behalf of an entity (“User” “you”“your”) and BuildHop QFZ LLC("Company",“we”, “us”, or “our”), alimited liability company registered under the laws of the Qatar Free Zone,bearing License No FZA241, concerning your access to and use of the websiteavailable at http://www.buildhop.com as well as any other media form, media channel,mobile website or mobile application related, linked, or otherwise connectedthereto (collectively, the “Platform”) to access the services provided via thePlatform (“Services”) You agree thatby accessing the Platform , you have read, understood, and agreed to be boundby all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OFUSE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND YOU MUSTDISCONTINUE USE IMMEDIATELY.

 

1.2                    Supplementalterms and conditions or documents that may be posted on the Platform from timeto time are hereby expressly incorporated herein by reference. We reserve theright, in our sole discretion, to make changes or modifications to these Termsof Use at any time and for any reason. We will alert you about any changes byupdating the “Last updated” date of these Terms of Use, and you waive any rightto receive specific notice of each such change. It is your responsibility toperiodically review these Terms of Use to stay informed of updates. You will besubject to and will be deemed to have been made aware of and to have accepted,the changes in any revised Terms of Use by your continued use of the Platformafter the date such revised Terms of Use are posted.

 

1.3                    The informationprovided on the Platform is not intended for distribution to or use by anyperson or entity in any jurisdiction or country where such distribution or usewould be contrary to law or regulation or which would subject us to anyregistration requirement within such jurisdiction or country. Accordingly,those persons who choose to access the Platform from other locations do so ontheir own initiative and are solely responsible for compliance with local laws,if and to the extent local laws are applicable.

1.4                    The Platformis intended for users who are at least 18 years old. Persons under the age of18 are not permitted to use or register on the Platform.

 

2.                 DEFINITIONS

 

For the purpose ofthis Terms and Conditions:

 

Account”shall have the meaning ascribed to it under clause 5.1 of this Terms andConditions.

 

Affiliates”shall mean any individual, corporation, partnership, limited liability company,association, trust, unincorporated entity or other legal entity that directly,or indirectly through one (1) or more intermediaries, controls, is controlledby, or under common control of BuildHop.

 

ApplicableLaw(s)" shall mean all applicable laws, rules, regulations,guidelines, statutory or government notifications of the State of Qatar.

 

DataProtection Legislation” shall mean Qatar Financial Centre Data ProtectionRegulations, December 2021, and any other legislation in force from time totime relating to privacy and/or the processing of personal data and applicableto the Services under these Terms and Conditions.

 

Services”shall mean the services of providing construction equipment and raw materialand procurement services on the Platform.

 

Order”shall mean a request for Services placed by the User on the Platforms.

 

PrivacyPolicy” shall mean BuildHop’s privacy policy, amended from time to time,available at [•].

 

Terms andConditions” shall mean these terms and conditions, as amended from time totime.

 

"User" shall mean any person whoaccesses or uses the Services provided on the Platform.

 

3.                 INTELLECTUAL PROPERTY RIGHTS

 

3.1               Unless otherwise indicated, the Platform is our proprietaryproperty and all source code, databases, functionality, software, websitedesigns, audio, video, text, photographs, and graphics on the Platform(collectively, the “Content”) andthe trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by usor licensed to us, and are protected by copyright and trademark laws andvarious other intellectual property rights and unfair competition laws of theState of Qatar, international copyright laws, and international conventions.The Content and the Marks are provided on the Platform on an “AS IS” basis foryour information and personal use only. Except as expressly provided in theseTerms of Use, no part of the Platform and no Content or Marks may be copied,reproduced, aggregated, republished, uploaded, posted, publicly displayed,encoded, translated, transmitted, distributed, sold, licensed, or otherwiseexploited for any commercial purpose whatsoever, without our express priorwritten permission.

 

3.2             Provided thatyou are eligible to use the Platform, you are granted a limited license toaccess and use the Platform and to download or print a copy of any portion ofthe Content to which you have properly gained access solely for your personal,non-commercial use. We reserve all rights not expressly granted to you in andto the Platform, the Content, and the Marks.

 

4.                USER REPRESENTATIONS

 

4.1               By using thePlatform, you represent and warrant that:

                       (i)                  you have read, understand and agree to be bound by theseTerms and Conditions and any future amendments and additions to these Terms andConditions as published from time to time on the Website;

                     (ii)                  you have the legal capacity, and youagree to comply with these Terms of Use;

                   (iii)                   you are not a minorin the jurisdiction in which you reside;

                   (iv)                  you are notbarred or otherwise legally prohibited from accessing or using the Platform inthe jurisdiction in which you reside;

                     (v)                   you will not access the Platform throughautomated or non-human means, whether through a bot, script, or otherwise;

                   (vi)                   you will notuse the Platform for any illegal or unauthorized purpose;  

                 (vii)                  your use ofthe Platform will not violate any applicable law or regulation.

               (viii)                  you may only access the Platform using authorized means. Itis your responsibility to check to ensure you download the correct applicationfor your device. We are not liable if you do not have a compatible device or ifyou have downloaded the wrong version of the mobile application for yourdevice. We reserve the right to terminate your use of the Platforms and/orServices should you be using the Platform with an incompatible or unauthorizeddevice.

 

4.2             If youprovide any information that is untrue, inaccurate, not current, or incomplete,we have the right to suspend or terminate your Account and refuse any and allcurrent or future use of the Platform (or any portion thereof), without anyliability or costs on our end.

 

5.                 USER ACCOUNT

 

5.1               Your personalaccount (the “Account”) is onlycreated after you have signed up and explicitly accepted these Terms. You willbe asked to provide your name, contact information including email address andphone number. By creating an account with your mobile number or email address,you will be asked to enter an OTP (One time password) and set a strong passwordfor your Account. Your Account will be created thereby, and you can log intoyour Account with the help of your email address and password. You hereby agreeto not disclose your Account details to any party unless permitted by law. Eventhough we undertake to adopt maximum care and caution while dealing with allthe personal information you provided with us while registering an Account inaccordance with our Privacy Policy, we are not responsible for any informationloss. You are solely responsible for the safety and security of your Account.  

 

5.2             While we make every effort to maintain inventory accuracy,you agree and acknowledge that some products for which you shall place an Ordermay be out of stock or unavailable from time to time. You also agree that thetitle of the products delivered to you when you place an Order with us passesto you at the time of the delivery. You bear all risks of loss or damage tosuch products upon the transfer of ownership.

 

5.3             The delivery of the Services are presumed to have beenperformed if we, through our delivery agents, attempted to perform it accordingto the delivery time chosen by you but was prevented from doing so by youractions or inactions or negligence, including if you are not available at thelocation and date selected, in which case, the ownership of the productsordered via the Services are transferred to you at this moment and you bear therisks of loss or damages to such products after this moment.

 

5.4             Our Services are delivered from Saturdayto Thursday between 8:00amand 5:00pm except ongovernment holidays and/or when specifically agreed otherwise. Based on availability, delivery is completed within thetime slot selected by you. For same-day Orders, we attempt to delivery within 6 (six) hours, however, you agree and understand that some Orders maytake longer due to the availability or specific requirements of the Orders orif our delivery agents are not available.

 

5.5             You mayvoluntarily submit, and hereby authorize us, our employees, agents, and othersoperating on our behalf, to use and/or disclose information about you,including, without limitation, certain information that personally identifiesyou, as further described in the Privacy Policy. You have the right to refuseto authorize the use and/or disclosure of your personal information. However,if you chose to exercise this right, you may not be able to utilize some or allthe features of the Platform. Our Privacy Policy explains the informationpractices that apply to personal information we have about you, as well as anychoices you can make about the ways this information is used. Please review itcarefully before proceeding.

 

5.6            We useindustry–level security and encryption to your Account. However, we cannotguarantee unauthorized access if you lose your login credentials, or they areotherwise compromised. Please safeguard your login credentials and report anyactual suspected breach of account to info@buildhop.com.

 

5.7             In case youwant to delete your Account, you can do so by writing to us at privacy     @buildhop.com. This will ensure that your Account andany associated records will be deleted from the Account, however, we may storeyour records internally for legal and compliance purposes for a period of timeas stipulated in the applicable laws.

 

5.8            Accuracy ofInformation: You agree that any registration information you give to us willalways be true, accurate, correct, complete and up to date. Any phone numberused to register with the Platform needs to be registered in your name and youmight be asked to provide supporting documents to prove the same. It is yourresponsibility to keep your correct mobile number and email ID updated in yourAccount. The records will be stored to the account associated with this mobilenumber and/or email ID. Every time you change any contact information (mobileor email), we will send a confirmation. We are not responsible for any loss orinconvenience caused due to your not updating your contact details on yourAccount.

 

5.9             Unauthorized use of the Account: You agree you will takesole responsibility for any activities or actions under your Account. You shallnotify BuildHop immediately in case of any breach of security or any unauthorizeduse of your Account. You agree that you will not misrepresent yourself orrepresent yourself as another user of the Platform. You hereby expresslyacknowledge and agree that you will be liable for any losses, damages (whetherdirect or indirect) caused to you, BuildHop or any others as a result ofunauthorized use of your Account. You agree not to create an Account or use theServices if you have been previously removed by BuildHop, or if you have beenpreviously banned from use of the Platform.

 

5.10          We will maintain certain data that you transmit to thePlatform for the purpose of managing the performance of the Platform, as wellas data relating to your use of the Platform. Although we perform regularroutine backups of data, you are solely responsible for all data that youtransmit or that relates to any activity you have undertaken using thePlatform. You agree that we shall have no liability to you for any loss orcorruption of any such data, and you hereby waive any right of action againstus arising from any such loss or corruption of such data.

 

6.                 PROHIBITED ACTIVITIES

 

6.1                 You may not access or use the Platform for any purposeother than that for which we make the Platform available. The Platform may notbe used in connection with any commercial endeavors except those that arespecifically endorsed or approved by us.

 

6.2               As a user ofthe Platform, you agree not to:

                    (i)                 Systematicallyretrieve data or other content from the Platform to create or compile, directlyor indirectly, a collection, compilation, database, or directory withoutwritten permission from us.

                  (ii)                 Trick,defraud, or mislead us and other users, especially in any attempt to learnsensitive account information such as user passwords.

                (iii)                 Circumvent,disable, or otherwise interfere with security-related features of the Platform,including features that prevent or restrict the use or copying of any Contentor enforce limitations on the use of the Platform and/or the Content containedtherein.

                (iv)        Disparage, tarnish, or otherwise harm, in our opinion, us and/orthe Platform.

                  (v)                 Make improperuse of our support services or submit false reports of abuse or misconduct.

                (vi)                  Use the Platform in a manner inconsistent withany applicable laws or regulations.

              (vii)                 Upload ortransmit (or attempt to upload or to transmit) viruses, Trojan horses, or othermaterial, including excessive use of capital letters and spamming (continuousposting of repetitive text), that interferes with any party’s uninterrupted useand enjoyment of the Platform or modifies, impairs, disrupts, alters, orinterferes with the use, features, functions, operation, or maintenance of thePlatform

            (viii)                 Engage in anyautomated use of the system, such as using scripts to send comments ormessages, or using any data mining, robots, or similar data gathering and extractiontools.

                 (ix)                 Delete thecopyright or other proprietary rights notice from any Content.

                   (x)                 Attempt toimpersonate another user or person or use the username of another user.

                 (xi)                 Interferewith, disrupt, or create an undue burden on the Platform or the networks orservices connected to the Platform.

               (xii)                 Copy or adaptthe Platform’s software, including but not limited to Flash, PHP, HTML,JavaScript, or other code.

             (xiii)                 Decipher,decompile, disassemble, or reverse engineer any of the software comprising orin any way making up a part of the Platform.

             (xiv)                 Except as maybe the result of standard search engine or Internet browser usage, use, launch,develop, or distribute any automated system, including without limitation, anyspider, robot, cheat utility, scraper, or offline reader that accesses thePlatform, or using or launching any unauthorized script or other software.

               (xv)                 Use a buyingagent or purchasing agent to make purchases on the Platform.

             (xvi)                  Make any unauthorized use of the Platform,including collecting usernames and/or email addresses of users by electronic orother means for the purpose of sending unsolicited email, or creating useraccounts by automated means or under false pretenses.

           (xvii)                 Use thePlatform as part of any effort to compete with us or otherwise use the Platformand/or the Content for any revenue-generating endeavor or commercialenterprise.

 

7.                 USER GENERATED CONTRIBUTIONS

 

The Platform does not offer users to submit or postcontent. We may provide you with the opportunity to create, submit, post,display, transmit, perform, publish, distribute, or broadcast content andmaterials to us or on the Platform, including but not limited to text,writings, video, audio, photographs, graphics, comments, suggestions, orpersonal information or other material (collectively, "Contributions"). Contributions maybe viewable by other users of the Platform and through third-party websites. Weshall own exclusive rights, including all intellectual property rights, andshall be entitled to the unrestricted use and dissemination of theseContributions for any lawful purpose, commercial or otherwise, withoutacknowledgment or compensation to you. You hereby waive all moral rights to anysuch Contributions, and you hereby warrant that any such Contributions areoriginal with you or that you have the right to submit such Contributions. Youagree there shall be no recourse against us for any alleged or actualinfringement or misappropriation of any proprietary right in yourContributions.

 

Assuch, any Contributions you transmit may be treated in accordance with thePrivacy Policy. When you create or make available any Contributions, youthereby represent and warrant that:

 

   (i)           The creation,distribution, transmission, public display, or performance, and the accessing,downloading, or copying of your Contributions do not and will not infringe theproprietary rights, including but not limited to the copyright, patent,trademark, trade secret, or moral rights of any third party.

(ii)            You are the creatorand owner of or have the necessary licenses, rights, consents, releases, andpermissions to use and to authorize us, the Platform, and other users of thePlatform to use your Contributions in any manner contemplated by the Platformand these Terms of Use.

(iii)           YourContribution may not contain any information that falsely expresses or impliesthat such content or material is sponsored or endorsed by BuildHop.

(iv)           You have thewritten consent, release, and/or permission of each and every identifiableindividual person in your Contributions to use the name or likeness of each andevery such identifiable individual person to enable inclusion and use of yourContributions in any manner contemplated by the Platform and these Terms ofUse. Your Contributions are not false, inaccurate, or misleading.

(v)           YourContributions are not unsolicited or unauthorized advertising, promotionalmaterials, pyramid schemes, chain letters, spam, mass mailings, or other formsof solicitation.

(vi)           YourContributions are not obscene, lewd, lascivious, filthy, violent, harassing,libelous, slanderous, or otherwise objectionable (as determined by us).

(vii)           YourContributions do not ridicule, mock, disparage, intimidate, or abuse anyone.

(viii)           YourContributions are not used to harass or threaten (in the legal sense of thoseterms) any other person and to promote violence against a specific person orclass of people.

(ix)           YourContributions do not violate any applicable law, regulation, or rule.

  (x)             Your Contributions do not violate the privacyor publicity rights of any third party.

(xi)           YourContributions do not contain any material that solicits personal informationfrom anyone under the age of 18 or exploits people under the age of 18 in asexual or violent manner.

(xii)           YourContributions do not violate any applicable law concerning child pornography,or otherwise intended to protect the health or well-being of minors.

(xiii)            Your Contributions do not include anyoffensive comments that are connected to race, national origin, gender, sexualpreference, or physical handicap.

(xiv)            Your Contributions do not otherwise violate,or link to material that violates, any provision of these Terms of Use, or anyapplicable law or regulation.

 

Anyuse of the Platform in violation of the foregoing violates these Terms of Useand may result in, among other things, termination, or suspension of yourrights to use the Platform. By posting information on the Platform, you agreeto and hereby do grant, and you represent and warrant that you have the rightto grant, BuiildHop, its contractors, its affiliates and the Users of thePlatform an irrevocable, perpetual, royalty-free, fully sub licensable, fullypaid up, worldwide license to use, copy, publicly perform, digitally perform,publicly display, and distribute such posted information (and to adapt, edit,translate, prepare derivative works of, or incorporate into other works, suchposted information. This license is non-exclusive, except you agree thatBuildHop shall have the exclusive right to practice this license to the extentof combining your posted information with the posted information of otherBuildHop users for purposes of constructing or populating a searchable databaseof reviews and information related to the healthcare industry.

 

8.                 RIGHTS OF BUILDHOP

 

8.1           BuildHop may terminate this Agreement at any time in itssole and absolute discretion, without providing any notice to you, inaccordance with these terms.  BuildHopmay block, discontinue or prevent your access to the Platforms or this website(either by disabling your username and password or by any other means) at anytime in its sole and absolute discretion, for any reason or for no reason.  BuildHop shall have no obligation at any timeto do any of the foregoing. We reserve the right to suspend or terminate yourAccount and your access to the Services if:

 

              (i)                       any information provided during the registration process orthereafter or any Contribution proves to be inaccurate, not current or incomplete;

 

            (ii)                       if it is believed that your actions may cause legalliability for you, other Users or us; and/or

 

          (iii)                       if you are found to be non- compliant with this Terms andConditions.

 

8.2         We reserve the right, but not the obligation, to:

 

           (i)                       monitor thePlatform for violations of these Terms of Use;

            (ii)                       takeappropriate legal action against anyone who, in our sole discretion, violatesthe law or these Terms of Use, including without limitation, reporting suchuser to law enforcement authorities;

          (iii)                       in our solediscretion and without limitation, refuse, restrict access to, limit theavailability of, or disable (to the extent technologically feasible) any ofyour Contributions or any portion thereof; in our sole discretion and withoutlimitation, notice, or liability, to remove from the Platform or otherwisedisable all files and content that are excessive in size or are in any wayburdensome to our systems; and

          (iv)                       otherwise manage the Platform in a manner designed toprotect our rights and property and to facilitate the proper functioning of thePlatform.

 

9.                 PRIVACY AND COMMUNICATIONS

 

9.1               Privacy Policy: Our information collection practices on thePlatforms, such as the types of information we collect regarding visitors tothe Platforms and the ways in which we may use that information, are governedby the terms of our Privacy Policy and Data Protection Legislation.

 

9.2             Transfer of Data: BuildHop may share your payment-relatedinformation with banks, third-party providers, and Partners required foroperations, settlement payment processing, and promoting Services.

 

9.3             Data Protection: BuildHop offers the use of secure server for thetransactions conducted by Users on the Platforms. All supplied personalinformation is transmitted and encrypted into our payment gateway providersdatabase. Such information is only to be accessible by those authorized withspecial access rights to such systems and such information is keptconfidential. Personal Information shall not be stored on our servers; and theusage of the same shall be in compliance with the Data Protection Legislation.

 

9.4             Visiting the Platform, sending us emails, and completingonline forms constitute electronic communications. You consent to receiveelectronic communications, and you agree that all agreements, notices,disclosures, and other communications we provide to you electronically, viaemail and on the Platform, satisfy any legal requirement that suchcommunication be in writing. You hereby agree to the use of electronicsignatures, contracts, orders, and other records, and to electronic delivery ofnotices, policies, and records of transactions initiated or completed by us orvia the Platform. You hereby waive any rights or requirements under anystatutes, regulations, rules, ordinances, or other laws in any jurisdictionwhich require an original signature or delivery or retention of non-electronicrecords, or to payments or the granting of credits by any means other thanelectronic means.

 

10.             LIMITATIONS OF LIABILITY

 

10.1            In no event, BuildHop or its Affiliates, contractors,agents, licensors, partners or suppliers will be liable to you for any special,indirect, incidental, consequential, punitive, reliance, or exemplary damagesarising out of or relating to: (a) this Terms and Conditions; (b) the Services,the Platforms; or (c) Your use or inability to use the Platforms, even ifBuildHop or a BuildHop authorized representative has been advised of thepossibility of such damages. In such cases, BuildHop’s liability will belimited to the fullest extent permitted by Applicable Law. This paragraph shallsurvive the termination of this Terms and Conditions. BuildHop shall not beliable for any actions or omissions by the Service Provider.

 

10.2          Further, we will not be responsible for any business loss (includingloss of profits, revenue, contracts, anticipated savings, data, goodwill orwasted expenditure) or any other indirect or consequential loss that is notreasonably foreseeable to both you and us when you commenced using thePlatforms.

 

10.3          We expressly disclaim all liabilities that may arise becauseof any unauthorized use of credit/ debit cards.

 

10.4          BuildHop tries to ensure that the information provided isaccurate and complete. However, BuildHop does not warrant or represent that thePlatforms are accurate, error-free, or reliable or that use of the Serviceswill not infringe rights of third parties.

 

10.5          While we put our best efforts in providing you with arobust application without defects, BuildHop does not warrant that thefunctional and/or technical aspects of the Platforms will be error free or thatthe servers that make them available are free of viruses or other harmfulcomponents. If use of the Platforms results in the need for servicing orreplacing property, material, equipment, data, or other element, BuildHop isnot responsible for those costs. Without limiting the foregoing, everything onthe Platforms is provided to you "as is" and "as available"and, to the fullest extent permitted by Applicable Law, without warranty of anykind, either expressed or implied, including, but not limited to, the impliedwarranties of merchantability, satisfactory quality, fitness for a particularpurpose, reasonable care and skill, or non-infringement. BuildHop and itssuppliers make no warranties about the Services provided by BuildHop, text,downloads, graphics, and links, or about results to be obtained from using thePlatforms.

 

10.6          To the fullest extent permitted by Applicable Law, BuildHopshall not be liable for any indirect, incidental, special or consequentialdamages of any kind arising out of or in connection with the use of informationavailable from the Platforms or any liability relating to any loss of use,interruption of business, lost profits or lost data, regardless of the form ofaction, whether in contract, tort or otherwise, even if BuildHop has beenadvised of the possibility of such damages.

 

10.7           You acknowledge and agree that BuildHop will not be liableunder any circumstances whatsoever, including, but not limited to, direct,indirect, incidental, consequential, or punitive damages arising out of the useof or inability to use this website or the Platforms, and/or arising under anylaw or theory, even if BuildHop has been advised of the possibility of suchdamages. in the event of any problem with the service or any of its content,you agree that your sole remedy is to cease using the Service. Under nocircumstances shall BuildHop be liable in any way for your use of the Platformsor any of its content.

 

10.8          The Platform is provided on an as-is and as-availablebasis. You agree that your use of the Platform and our services will be at yoursole risk. To the fullest extent permitted by law, we disclaim all warranties,express or implied, in connection with the Platform and your use thereof, including,without limitation, the implied warranties of merchantability, fitness for aparticular purpose, and non-infringement.

 

10.9           We make no warranties or representations aboutthe accuracy or completeness of the Platform’s content or the content of anywebsites linked to the Platform and we will assume no liability orresponsibility for any errors, mistakes, or inaccuracies of content andmaterials, personal injury or property damage, of any nature whatsoever,resulting from your access to and use of the platform,  any unauthorized access to or use of oursecure servers and/or any and all personal information and/or financialinformation stored therein,  anyinterruption or cessation of transmission to or from the platform, any bugs,viruses, trojan horses, or the like which may be transmitted to or through theplatform by any third party, and/or any errors or omissions in any content andmaterials or for any loss or damage of any kind incurred as a result of the useof any content posted, transmitted, or otherwise made available via theplatform. We do not warrant, endorse, guarantee, or assume responsibility forany product or service advertised or offered by a third party through thePlatform, any hyperlinked website, or any website or mobile application featuredin any banner or other advertising, and we will not be a party to or in any waybe responsible for monitoring any transaction between you and any third-partyproviders of products or services. As with the purchase of a product or servicethrough any medium or in any environment, you should use your best judgment andexercise caution where appropriate.

 

10.10        We reserve the right to change, modify, or remove thecontents of the Platform at any time or for any reason at our sole discretionwithout notice. However, we have no obligation to update any information on ourPlatform. We also reserve the right to modify or discontinue all or part of thePlatform without notice at any time. We will not be liable to you or any thirdparty for any modification, price change, suspension, or discontinuance of thePlatform.  

 

10.11          We cannotguarantee the Platform will be available at all times. We may experiencehardware, software, or other problems or need to perform maintenance related tothe Platform, resulting in interruptions, delays, or errors. We reserve theright to change, revise, update, suspend, discontinue, or otherwise modify thePlatform at any time or for any reason without notice to you. You agree that wehave no liability whatsoever for any loss, damage, or inconvenience caused byyour inability to access or use the Platform during any downtime ordiscontinuance of the Platform. Nothing in these Terms of Use will be construedto obligate us to maintain and support the Platform or to supply anycorrections, updates, or releases in connection therewith.

 

10.12        There may beinformation on the Platform that contains typographical errors, inaccuracies,or omissions, including descriptions, pricing, availability, and various otherinformation. We reserve the right to correct any errors, inaccuracies, oromissions and to change or update the information on the Platform at any time,without prior notice.

 

11.                 INDEMNIFICATION

 

Youagree to defend, indemnify, and hold us harmless, including our subsidiaries,Affiliates, and all of our respective officers, agents, partners, andemployees, from and against any loss, damage, liability, claim, or demand,including reasonable attorneys’ fees and expenses, made by any third party dueto or arising out of: (1) use of the Platform; (2) breach of these Terms ofUse; (3) any breach of your representations and warranties set forth in theseTerms of Use; (4) your violation of the rights of a third party, including butnot limited to intellectual property rights; or (5) any overt harmful acttoward any other user of the Platform with whom you connected via the Platform.Notwithstanding the foregoing, we reserve the right, at your expense, to assumethe exclusive defense and control of any matter for which you are required toindemnify us, and you agree to cooperate, at your expense, with our defense ofsuch claims. We will use reasonable efforts to notify you of any such claim,action, or proceeding which is subject to this indemnification upon becomingaware of it.

 

12.              TERM AND TERMINATION

 

12.1               These Terms of Use shall remain in full force and effectwhile you use the Platform. Without limiting any other provision of these termsof use, we reserve the right to, in our sole discretion and without notice orliability, deny access to and use of the Platform (including blocking certain IPaddresses), to any person for any reason or for no reason, including withoutlimitation for breach of any representation, warranty, or covenant contained inthese terms of use or of any applicable law or regulation. We may terminateyour use or participation in the platform or delete any content or informationthat you posted at any time, without warning, in our sole discretion.

 

12.2             Without affecting any other right or remedy available to it, BuildHop may terminate the Account with immediate effect by giving written notice to the User if the User fails to pay any amount due under these Term sand Conditions on the due date for payment.

 

12.3             If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

 

 

13.                       RETURNS AND CANCELLATIONS

     13.1           Defective Returns. In the event a user notifies BUILDHOP of damaged/defected Products/ Products with quality problems and or Products that do not conform with the warranty given on the platform (“Defective Products”) within the Allotted Time Frame (as defined below), BUILDHOP shall promptly notify the Supplier and mediate the return process. A credit or transfer of funds will be initiated.

   13.2           Voluntary Returns. In the event a user notifies BUILDHOP of a return request for any reason other than as defined in section 13.1 within the Allotted Time Frame (at receipt of goods unless specifically defined for the product), the User shall pay a restocking fee of 5% and applicable delivery charges. A credit or transfer of funds will be initiated.

   13.3           Cancellations. In the event a user notifies BUILDHOP of a cancellation request for any reason the User shall pay a restocking fee of 5% and applicable delivery charges. BuildHop will attempt to void the charges if products have not begun the fulfillment process. A credit or transfer of funds will be initiated.

   13.4           Custom Orders. Any productdefined as “custom” such as paints, cut length, etc. are final andnon-refundable non-returnable unless falling under terms of section 13.1.

 

 

14.                       FORCE MAJEURE

 

Ifperformance under this Terms and Conditions by BuildHop is prevented, restricted,delayed or interfered with by reason of labor disputes, strikes, acts of God,floods, lightning, severe weather, shortages of materials, rationing,government imposed lockdowns, pandemics, inducement of any virus, Trojan orother disruptive mechanisms, any event of hacking or illegal usage of thePlatforms, utility or communication failures, earthquakes, war, revolution,acts of terrorism, civil commotion, acts of public enemies, blockade, embargoor any law, order, proclamation, regulation, ordinance, demand or requirementhaving legal effect of any government or any judicial authority orrepresentative of any such government, or any other act whatsoever, whethersimilar or dissimilar to those referred to in this clause, which could not havebeen foreseen at the date of execution of this Terms and Conditions, which arebeyond the reasonable control of BuildHop and could not have been prevented byreasonable precautions then BuildHop shall be excused and discharged from suchperformance to the extent of and during the period of such force majeure event,and such non-performance shall, in no manner whosoever, amount to a breach bythe BuildHop of its obligations herein.

 

15.                       GOVERNING LAW AND JURISDICTION

 

ThisTerms and Conditions shall be interpreted, construed, and enforced in allrespects in accordance with the laws of the Qatar Free Zone (QFZ). Youirrevocably consent to the exclusive jurisdiction of the QFZ courts, inconnection with any action to enforce the provisions of this Terms andConditions, to recover damages or other relief for breach or default under thisTerms and Conditions, or otherwise arising under or by reason of this Terms andConditions.

 

16.                       MISCELLANEOUS

 

TheseTerms of Use and any policies or operating rules posted by us on the Platformor in respect to the Platform constitute the entire agreement and understandingbetween you and us. Our failure to exercise or enforce any right or provisionof these Terms of Use shall not operate as a waiver of such right or provision.These Terms of Use operate to the fullest extent permissible by law. We mayassign any or all of our rights and obligations to others at any time. We shallnot be responsible or liable for any loss, damage, delay, or failure to actcaused by any cause beyond our reasonable control. If any provision or part ofa provision of these Terms of Use is determined to be unlawful, void, orunenforceable, that provision or part of the provision is deemed severable fromthese Terms of Use and does not affect the validity and enforceability of anyremaining provisions. There is no joint venture, partnership, employment oragency relationship created between you and us as a result of these Terms ofUse or use of the Platform. You agree that these Terms of Use will not beconstrued against us by virtue of having drafted them. You hereby waive any andall defenses you may have based on the electronic form of these Terms of Useand the lack of signing by the parties hereto to execute these Terms of Use.
